Service Agreement
between
Halve Consulting Limited
(hereinafter referred to as Halve)
and
ABC Limited
(hereinafter referred to as ABC)
Halve agrees to review the accounting system of ABC and
all related systems and source documents to recover for ABC any
overpayments that ABC made to its suppliers and any rebates
to which ABC may be entitled. Suppliers include, but are not
limited to, regulatory agencies and all levels of governments in Canada and
in other countries. Rebates include, but are not limited to, duties drawbacks.
Halve will prepare and submit, on behalf of ABC, the necessary documents to the appropriate parties to recover any overpayments and any rebates for ABC. Halve will represent ABC in the handling of any queries that officials from the appropriate parties may have about the documents submitted to them by Halve on behalf of ABC.
If Halve does not uncover any overpayments or any rebates for ABC, no fee shall be charged to ABC. Otherwise, the fee shall be 40% of the overpayments and rebates, including interest, recovered by Halve for ABC.
In the event that ABC has to repay a portion of the overpayments or rebates after they were paid to ABC, Halve agrees to repay to ABC the pro-rated fee that Halve received on the repaid portion of the overpayments or rebates.
With the exception of disclosing the necessary records and information to complete the required forms to the appropriate parties to recover the overpayments and rebates for ABC, Halve will hold all records and information gathered in the performance of this agreement, including the existence of this agreement, in the strictest confidence.
